1) Select Cell
2) Shift + F2 or Right-click, New Note (Comment in older versions)
3) Click Outside Edge of Note/Comment
4) Ctrl + 1 or Right-click, Format Note/Comment
5) Colors & Line Tab
6) From Fill/Color Dropdown: Fill Effects
7) Picture Tab
8) Select Picture Button
9) Insert Picture
10) OK, OK
